These Terms define permitted use, responsibilities, and limitations. If you do not agree, do not use the site or services.
- Scope of services. We provide IT audit, diagnostics, assessment, and advisory deliverables as described in proposals or order details. The written scope controls if any summary differs.
- Eligibility and authority. You confirm you are at least 18 and have authority to agree on behalf of yourself or your organization. You will provide accurate information necessary for service delivery.
- Client responsibilities. You will provide timely access to systems, documentation, and stakeholders as reasonably needed. Delays or incomplete access may affect schedules and outcomes.
- Acceptable use. You will not attempt unauthorized access, disrupt operations, or introduce malicious content. You will comply with applicable laws and security requirements.
- Confidentiality. Both parties may receive confidential information and agree to protect it using reasonable care. Confidential information excludes data publicly available through no fault of the receiving party.
- Data handling. If logs or configuration details are needed, you authorize their use solely for the engagement. We recommend redacting sensitive data when feasible while preserving diagnostic value.
- Deliverables and assumptions. Deliverables reflect conditions at the time of analysis and may include assumptions and constraints. Recommendations should be validated in your environment before full rollout.
- Change requests. Scope changes must be agreed in writing before execution. Changes may affect pricing, timelines, and required resources.
- Third-party dependencies. Your environment may include third-party services outside our control. We are not responsible for their outages, but we may document related risks and mitigations.
- Scheduling. Timelines depend on access, responsiveness, and capacity. We will communicate blockers and propose reasonable adjustments.
- Fees and payment. Pricing is defined at purchase or in a written proposal. Taxes and provider processing fees may apply depending on jurisdiction and payment method.
- Non-payment. If payment is not received, we may pause work and delivery. Resuming may require updated scheduling based on availability.
- Intellectual property. We retain ownership of methodologies, templates, and know-how. You receive a license to use delivered reports internally for business purposes.
- Client materials. You retain rights to your data and systems and represent you have permission to share materials with us. You will not share third-party data without proper authorization.
- No warranties. Services are provided as described and depend on implementation and environment factors. We do not guarantee specific outcomes or third-party performance.
- Limitation of liability. To the maximum extent allowed by law, indirect or consequential damages are excluded. Total liability is limited to the amount paid for the applicable service.
- Indemnity. You agree to indemnify us for claims arising from your misuse or violation of these Terms. We will address claims caused by intentional misconduct where applicable.
- Termination. Either party may terminate for material breach not cured within a reasonable period. Termination does not eliminate payment obligations for work already performed.
- Security suspension. We may suspend access if we detect abuse or credible security threats. We will restore access when the issue is mitigated.
- Governing law and disputes. These Terms are governed by laws applicable to our operating jurisdiction unless required otherwise. Parties should attempt good-faith resolution before escalation.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect. The invalid portion will be interpreted to reflect intent as closely as permitted.
